These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ReviewPilot("Company," "we," "us," or "our"). These Terms govern your access to and use of the ReviewPilot platform and all associated services. By accessing or using ReviewPilot, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the service.
By creating an account, accessing, or otherwise using ReviewPilot in any capacity, you confirm that you have read, understood, and consent to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are accessing or using ReviewPilot on behalf of a company, organization, or other legal entity, you represent and warrant that you possess the requisite authority to bind that entity to these Terms, and all references to "you" shall include that entity.
ReviewPilot is an AI-powered review management platform designed for local businesses. The service enables users to manage Google reviews, generate AI-suggested responses to customer reviews, and distribute review requests to customers via SMS and email. ReviewPilot reserves the right to update, modify, suspend, or discontinue any feature or aspect of the service at any time, with or without notice, as part of our ongoing efforts to enhance the platform.
By registering for an account with ReviewPilot, you acknowledge and agree to the following obligations:
You agree to use ReviewPilot solely for lawful purposes and in strict accordance with these Terms. The following activities are expressly prohibited:
ReviewPilot utilizes artificial intelligence to generate suggested responses to customer reviews. All such responses are provided as recommendations only and do not constitute professional advice. You are solely responsible for reviewing, editing, and approving all AI-generated content prior to publication. Upon your election to publish any response, that content becomes your own, and you assume full responsibility for its accuracy, legality, and appropriateness. ReviewPilot expressly disclaims any and all liability for AI-generated content that you approve and publish through the platform.
ReviewPilot subscriptions are billed on a recurring monthly basis through our payment processor, Stripe. By subscribing to a paid plan, you expressly authorize ReviewPilot to charge your designated payment method on a recurring monthly basis until canceled.
The protection of your personal information is of paramount importance to ReviewPilot. We collect, process, store, and safeguard your data in accordance with the practices described in our Privacy Policy. By using ReviewPilot, you consent to the data collection and processing practices described therein.
DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REVIEWPILOT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. REVIEWPILOT MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
To the fullest extent permitted by applicable law:
You agree to indemnify, defend, and hold harmless ReviewPilot and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, actions, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your access to or use of the service; (b) your violation of these Terms or any applicable law or regulation; (c) any content you publish, transmit, or otherwise make available through your account; or (d) your infringement of any third-party rights. ReviewPilot reserves the right, at ReviewPilot's sole discretion, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate fully with ReviewPilot in asserting any available defenses.
ReviewPilot reserves the right to modify or revise these Terms at any time. In the event of material changes, we will provide no fewer than 30 days advance notice via the email address associated with your account. Your continued use of ReviewPilot following the effective date of any revised Terms constitutes your binding acceptance of such changes. If you do not agree to the revised Terms, you must discontinue use of the service prior to the effective date.
ReviewPilot reserves the right to suspend or terminate your account and access to the service, in whole or in part, at any time and without prior notice, if you breach these Terms or engage in conduct that ReviewPilot determines, in its sole discretion, to be harmful to the Company, other users, or third parties. Upon termination, all rights and licenses granted to you under these Terms shall immediately cease. ReviewPilot may, in accordance with its data retention practices as described in our Privacy Policy, delete your account data following termination. Sections 5, 8, 9, and 12 of these Terms shall survive any termination or expiration of this agreement.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. For any dispute, claim, or controversy arising out of or relating to these Terms or the service where the amount in controversy is less than ten thousand U.S. dollars ($10,000), the parties agree to submit to binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in New York, New York, and the arbitrator's decision shall be final and binding. Judgment upon the award may be entered in any court of competent jurisdiction. For disputes exceeding the small claims threshold of $10,000, or where injunctive or equitable relief is sought, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York. Each party irrevocably waives any objection to such jurisdiction and venue. YOU AND REVIEWPILOT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
